Bylaws

Article I - Name
The name of this organization shall be Phi Eta Sigma National Honor Society, Inc., hereinafter referred to as PES. The organization is a chapter member of the Phi Eta Sigma National Honor Society, Inc.

Article II - Mission
The mission of this organization shall be to promote a high standard of learning and to encourage high scholastic attainment among the freshmen at UW-Green Bay.

Article III - Membership
A. Qualifications of Members
1. All UW-Green Bay freshmen who have a cumulative grade-point average of at least 3.5 on a 4.0 scale at the end of any full-time semester period are automatically eligible for membership, provided they have carried a normal academic load acceptable toward a bachelor's degree and rank in the upper 20 percent of their class.
2. Transfer students who have not completed more than twenty semester hours or thirty quarter hours at another college of university after high school graduation and before matriculation in the instituion of the chapter proposing initiation are eligible for membership if they met the criteria stated above.
3. Invitations to join the society are issued by the Chapter Advisor during Fall and Spring Semesters. An induction ceremony is held during Spring Semester at which time all initiates from Fall and Spring will be invited to attend.

B. Membership Fee
The membership fee pays for an academic key or tie, tac, membership certificate, and a copy of the national magazine, Forum of Phi Eta Sigma. The fee also pays a portion of the expenses for a chapter delegate to attend the national convention and a portion goes to the Founders Fund for national scholarships. The most current membership fee is listed on the chapter website and may be changed at the beginning of an academic year based upon officer's decisions and needs.

C. Voting Privileges
Voting privileges shall be granted only to members who are regularly enrolled UW-Green Bay students.

D. Termination of membership
The membership into Phi Eta Sigma is a lifetime membership. Members can only be suspended or expelled from membership by unanimous vote of the Executive Committee.

E. Induction
1. A formal induction ceremony is held during Spring Semester.
2. Attendance at the induction ceremony is optional.

Article IV - Officers
A. Criteria
All officers must be regularly enrolled students in good standing at UW-Green Bay and active members of PES.

B. Election and Removal
Officers shall be elected by a simple majority vote of the members present at a meeting held during spring semester. The procedure for removal of officers will be a 2/3 majority vote of the total voting membership. If there is a vacancy in any position, a person willing to become an officer may be elected by a special election of appointed.

C. Duties and Responsibilities
The chapter of Phi Eta Sigma of UW-Green Bay has 5 student officers, a chapter advisor, and an administrative assistant. Each has a specific role to play during the annual induction ceremony. Specific responsibilities of each officer are as follows:

President
1) Shall preside over all official Chapter meetings
2) Shall serve the Chapter as defined in the Constitution of the Phi Eta Sigma National Society
3) Shall serve as a representative of the Chapter

Vice President
1) Shall serve as President Pro-Temp to preside in the absence or inability of the President
2) Shall oversee the events of the Chapter as a whole
3) Shall perform the duties as designated by the President

Secretary
1) Shall record the minutes of all meetings and provide them to each chapter member, the chapter advisor, and administrative assistant through email
2) Shall keep the official membership roster for the officers and members of the Chapter, including contact information
3) Shall perform the duties as designated by the President

Treasurer
1) Shall submit a report of funds and account activity on a monthly basis at the Executive Board meeting and to the chapter advisor and administrative assistant
2) Shall oversee expenditures for the Chapter in a manner approved by the Executive Board
3) Shall perform the duties as designated by the President

Activities Director
1) Shall implement and coordinate with the membership social and academic activities throughout each semester
2) Shall perform the duties as designated by the President

Senior Adviser
1) Attends officer meetings
2) Participates in planning
3) Shall perform the duties as designated by the President, including filling in for another officer if unable to participate in events

Article V - Meetings
A. The executive committee shall be comprised of the elected officers of the organization and shall meet to finalize agenda items, prepare informational reports, and collaborate on the business of the organization.
B. Meetings of the executive board shall be on a weekly basis.
C. Meetings of the chapter membership shall be held every two to three weeks depending on need and availability. Members shall be notified through the chapter’s website and social media.

Article VI - Decision Making Process
A. The process for general decision making shall be a simple majority of a quorum unless otherwise specified in this constitution. A quorum shall constitute a minimum of 40% of the membership in attendance at a scheduled meeting.

B. The executive committee may, with a majority vote, authorize expenditures for routine operational expenses.

Article VII - Activities
A. Induction Ceremony
The annual induction ceremony, held in the Spring, is designed to celebrate the success of new members. The officers and other members are needed to facilitate the smooth functioning of the event.

B. National Conference
In even numbered years, Phi Eta Sigma's national organization holds a leadership conference and Phi Eta Sigma may send delegates.

C. Volunteer Activities
The organization should look to do some form of volunteer service at least twice a semester both on campus and in the greater Green Bay community.

D. Scholarships
The Phi Eta Sigma national offers scholarships available to members who have >strong undergraduate records, including service to the local chapter. The Chapter Advisor will issue a call for applications each spring and forward the most competitive application to the national office. UW-Green Bay is permitted to forward two applications each year for scholarships as determined by the national office.

Article IX - Amendment Process
This constitution may be amended by a 2/3 vote of the total membership. Amendments to the constitution may only happen during the spring semester.

Article X - Finances
A. The primary income for Phi Eta Sigma comes form initiation dues. The organization may also participate in fund raising events in order to fulfill its mission without raising dues.

B. The organization's funds are deposited in an agency account at the Office of Student Life (Organization of Finance Officers). The following are legitimate uses of chapter funds:
Expenses incurred to travel to the National Convention
Expenses incurred in relationship to induction of new members.
Other purposes agreed upon by members of the chapter with approval of the Chapter Advisor.

C. Should the club disband/cease, the executive board shall disburse the assets to a charitable organization. Should no officers be available, the Director of the Student Life Office or an appropriate university official shall be authorized to make the disbursal.
